Corporate Governance
The Board of Directors of AREIT sets high standards for AREIT’s employees, officers and directors. Implicit in this philosophy is the importance of sound corporate governance. It is the duty of the Board of Directors to serve as a prudent fiduciary for stockholders and to oversee the management of AREIT’s business. To fulfill its responsibilities and to discharge its duty, the Board of Directors follows the procedures and standards that are set forth in these guidelines. These guidelines are subject to modification from time to time as the Board of Directors deems appropriate in the best interests of AREIT or as required by applicable laws and regulations.

Form 1099-DIV
Distributions taxable for the 2023 tax-year are reported to you on the 2023 Form 1099-DIV. This includes distributions payable on the dates listed in the table below. The tax character of these distributions as a percent of each total distribution is:

Form 1099-B
If you sold shares in a taxable account during 2023 in a transaction directly with the Company, such transaction will be reported on Form 1099-B. If your shares are “covered securities” as defined in Internal Revenue Code Section 6045, the cost basis and corresponding gain or loss is reported. If all or any of your shares are “uncovered securities”, which are generally shares purchased prior to January 2011, you are responsible for calculating your own specific taxable gain or loss resulting from the total proceeds reported on Form 1099-B. Investors in taxable accounts must determine their cost basis by subtracting all nondividend distributions historically reported to them on their Form 1099-DIV from the total gross purchase amount on their Form 1099-B, including any shares made pursuant to the Company’s Distribution Reinvestment Plan.

NAV is calculated in accordance with valuation procedures adopted by AREIT’s board and is not subject to accounting principles generally accepted in the United States (“GAAP”). For more information regarding the calculation of AREIT's NAV and its valuation procedures, please see AREIT's most recent Annual Report on Form 10-K filed with the Securities and Exchange Commission ("SEC"), as supplemented from time to time by AREIT's other filings with the SEC.
Total asset value is calculated as fair value of investments in real estate properties, fair value of investments in real estate debt and securities, fair value of investments in unconsolidated joint venture partnerships, plus cash and cash equivalents.
Represents portfolio information for our wholly owned properties.
Southern California market consists of Inland Empire, Los Angeles, and Orange County markets.
Percent leased represents AREIT’s wholly owned Operating Portfolio, which include properties that are more than 90% leased or have been owned for more than a year.
